Merchant User Agreement for StacPay
This Merchant User Agreement ("Agreement") is entered into by StacPay Technologies Ltd. ("StacPay," "we," "us," or "our") and you, the merchant ("Merchant," "you," or "your"), who registers and operates on the StacPay platform (the "Platform"). By signing up or continuing to use the Platform, you agree to the terms outlined below.
1. Purpose
This Agreement defines the terms between StacPay and the Merchant, outlining usage, responsibilities, and compliance expectations.
2. Merchant Eligibility and Onboarding
- Submit valid business registration documents (e.g., CAC).
- Provide a government-issued ID and proof of store ownership or authorization.
- Comply with all applicable laws.
Onboarding Process:
- Submit documents via the Merchant app/dashboard.
- Pass KYC checks, address verification, and listing compliance.
- Activate account after approval.
3. Merchant Responsibilities
3.1 Store Operations
- Maintain accurate listings and pricing.
- Process and fulfill orders on time.
- Ensure products meet ethical and legal standards.
3.2 Payment and Fees
- Allow commission deductions by StacPay.
- Ensure payout account details are accurate and secure.
- Keep account credentials confidential.
- Comply with tax obligations.
3.3 Refunds and Disputes
- Resolve complaints and refund requests per StacPay policy.
- Maintain clear return and warranty policies.
3.4 Compliance
- Operate lawfully within Nigeria's business regulations.
- Do not list restricted or illegal items.
4. StacPay's Responsibilities
- Provide a secure platform for product listing and payments.
- Support marketing and visibility tools.
- Offer technical support.
- Disburse payments on time after fee deductions.
5. Fees and Commission Structure
StacPay charges a commission per transaction, as disclosed during onboarding.
Fee Structure Example:
- Base Commission: 5%
- Optional services (e.g., ads): Based on selected package
Merchants receive monthly statements with a breakdown of all fees.
6. Intellectual Property
Merchants own their trademarks and product content but grant StacPay a non-exclusive, royalty-free license for promotional use.
7. Termination of Agreement
Voluntary: Notify StacPay 30 days in advance.
Involuntary: StacPay may terminate accounts due to non-compliance, fraud, or legal issues. All dues must be cleared before termination is finalized.
8. Limitation of Liability
- Not liable for delays, third-party issues, or force majeure.
- Not liable for merchant-customer disputes.
- Not liable for account misuse due to negligence.
9. Confidentiality
Both parties must protect sensitive information, including data, analytics, and platform details.
10. Governing Law and Dispute Resolution
Disputes will be governed by Nigerian law and resolved via arbitration in Lagos.
11. Amendments
Updates will be shared with merchants at least 30 days in advance.
12. Entire Agreement
This Agreement supersedes any prior terms, representing the full understanding between StacPay and the Merchant.
